The registration process, step by step

A straightforward Pvt. Ltd. registration typically completes in 7–15 working days from name approval, depending on OCR's processing load and how quickly documents are signed. Government fees scale with authorized capital — from roughly NPR 1,000 for the smallest companies up to NPR 15,000 and beyond for higher capital brackets — plus drafting and professional fees, which we quote as one fixed package up front.

What comes after registration

Registration is the start of the compliance calendar, not the end. Within the first months, a new company must register for PAN, open its bank account, hold statutory meetings, and begin maintaining books of account. Every year after, it must file audited financial statements and an annual return with OCR, and an income tax return with the IRD.

  • Can I register a company in Nepal without visiting an office?

    Largely yes. OCR's process runs through its online CAMIS system, and Rolacon prepares and files everything on your behalf. You sign the documents — physically or through an authorized representative — and we handle submissions, queries, and collection of the certificate.

  • What is the minimum capital for a Pvt. Ltd. in Nepal?

    There is no general statutory minimum paid-up capital for a private limited company — you can register with a nominal amount, though certain regulated sectors (banking, insurance, and others) have their own capital requirements. Registration fees scale with the authorized capital you choose.

  • Should I register for VAT at the same time as PAN?

    Only if your expected turnover crosses the threshold, your sector requires it, or your customers are VAT-registered businesses that need VAT invoices. We assess this during setup — registering unnecessarily creates monthly filing obligations you don't need yet.
